These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and HighRep Ltd, a company registered in Guernsey (“Company,” “we,” “us,” or “our”).
By accessing or using our website www.highrep.com and any related products or services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
HighRep provides a reputation management platform designed to help businesses generate customer reviews and manage their online reputation. Services may include:
Automated review requests (via SMS, email, WhatsApp, and other channels). Reputation monitoring and reporting. Professional review response services. Repurposing of customer reviews for marketing content. System integrations with CRMs, Google Business Profile, and social media.
3. Intellectual Property
All content, software, designs, trademarks, and logos provided through our Services are owned or licensed by HighRep. You are granted a limited, non-transferable, revocable license to use the Services for your business purposes only.
You may not copy, reproduce, distribute, or exploit our intellectual property without prior written permission.
4. User Responsibilities
By using our Services, you represent and warrant that you:
Are at least 18 years old. Have the authority to bind the business you represent. Will not use the Services for illegal, fraudulent, or abusive purposes. Will provide accurate and up-to-date information.
You are responsible for the content and customer data you provide to HighRep and must ensure you have lawful grounds (e.g., consent) for processing such data.
5. Purchases and Payment
Fees are payable in GBP (£) unless otherwise agreed. Payments must be made by accepted payment methods (credit/debit card, bank transfer, etc.). Subscriptions renew automatically unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing cycle. We may adjust pricing with reasonable notice.
6. Prohibited Activities
You must not:
Use the Services in violation of applicable law (including data protection, anti-spam, and consumer protection laws). Upload harmful code, spam, or abusive content. Attempt to copy, reverse-engineer, or interfere with the Services. Use the Services to harass, defame, or mislead others.
7. Data Protection & Privacy
HighRep complies with the Guernsey Data Protection Law 2017, the UK GDPR, and the EU GDPR where applicable.
Your data will be processed in line with our Privacy Policy. Where customer contact data is uploaded, you confirm you have obtained the necessary consents or lawful basis. International transfers (if any) will be safeguarded by Standard Contractual Clauses (SCCs) or adequacy decisions.
8. Service Availability
We strive to ensure continuous availability of the Services but cannot guarantee uninterrupted or error-free operation. We may suspend Services temporarily for maintenance or updates.
9. Limitation of Liability
To the maximum extent permitted by law:
HighRep is not liable for indirect, incidental, or consequential damages. Total liability for any claim shall not exceed the total fees paid by you to HighRep in the 3 months preceding the claim. Nothing in these Terms excludes liability for fraud, wilful misconduct, or death/personal injury caused by negligence.
10. Indemnification
You agree to indemnify and hold HighRep harmless against any claims, damages, or losses arising from your misuse of the Services, breach of these Terms, or violation of applicable laws.
11. Termination
We may suspend or terminate your access if you breach these Terms. You may terminate your subscription at any time via your account settings or by contacting [email protected].
12. Governing Law & Jurisdiction
These Terms are governed by the laws of Guernsey. Any disputes shall be subject to the exclusive jurisdiction of the Royal Court of Guernsey.
13. Amendments
We may update these Terms from time to time. The “last updated” date will reflect changes. Continued use of the Services after updates constitutes acceptance.
